By creating an account, subscribing to a service, or otherwise accessing any product or website operated by MKH LLC, you ("User", "Customer", or "you") agree to be legally bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms, you must not use our services.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, and references to "you" or "your" shall refer to that entity.
MKH LLC is a Delaware-registered technology company that provides the following subscription-based software-as-a-service (SaaS) products:
Each product is governed by a separate product-specific Service Level Agreement (SLA) and documentation provided at the time of subscription. These Terms apply to both products and any related services, APIs, and websites.
To access our SaaS products, you must register for an account. You agree to:
MKH LLC reserves the right to refuse registration or cancel accounts at our discretion, including if we believe provided information is inaccurate or if use violates these Terms.
Our products are offered on subscription plans with pricing as published on the respective product websites. Subscriptions renew automatically at the end of each billing cycle unless cancelled prior to the renewal date.
By providing a payment method, you authorize us (or our payment processors) to charge the applicable subscription fee. We accept major credit cards (Visa, Mastercard, American Express, Discover), debit cards, digital wallets (Apple Pay, Google Pay, PayPal, Meta Pay), and bank transfers. All fees are charged in USD unless otherwise stated.
You are responsible for all applicable taxes on fees charged. Where required by law, MKH LLC will collect and remit taxes on your behalf.
We may modify subscription pricing at any time. We will provide at least 30 days' written notice before applying a price change to existing subscriptions. Continued use after the effective date constitutes acceptance of the new pricing.
Refunds are governed by our Refund Policy. In general, subscription fees are non-refundable, except as explicitly stated in our Refund Policy or required by applicable law.
You agree to use our services only for lawful purposes and in accordance with these Terms. You must NOT use our services to:

All software, technology, designs, content, trademarks, logos, and other materials comprising our services are the exclusive property of MKH LLC or its licensors and are protected by US and international intellectual property laws. No rights are granted to you other than the limited right to use our services as described in these Terms.
You retain all intellectual property rights in the data and content you upload to or generate through our services ("Customer Data"). By using our services, you grant MKH LLC a limited, non-exclusive, royalty-free license to store, process, and display your Customer Data solely to the extent necessary to provide the services.
If you provide feedback or suggestions about our services, we may use such feedback without restriction or compensation to you.
Your use of our services is subject to our Privacy Policy, which is incorporated by reference into these Terms. You are responsible for obtaining all necessary consents and permissions from your end-users to allow us to process their data as required to provide the services. You represent and warrant that your use of Customer Data complies with all applicable privacy laws.
We strive to maintain a monthly uptime of 99.9% for our production services. Planned maintenance windows will be communicated at least 48 hours in advance. Our Service Level Agreement (SLA) provides for service credits in the event of downtime below the guaranteed threshold, subject to the terms of your specific subscription plan. Credits are the sole and exclusive remedy for service unavailability.
OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. USE OF OUR SERVICES IS AT YOUR SOLE RISK.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, so the above limitations may not apply to you.
You agree to defend, indemnify, and hold harmless MKH LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of our services in violation of these Terms; (b) your Customer Data; (c) your violation of any third-party rights; or (d) your violation of applicable laws.
You may cancel your subscription at any time through your account dashboard or by contacting contact@mkhllc.com. Cancellation takes effect at the end of the current billing period. No partial-period refunds are provided unless required by our Refund Policy.
We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, or if required by law. Upon termination, your right to use the services ceases and we may delete your account and Customer Data in accordance with our Data Retention policy.
You may export your Customer Data at any time during your active subscription. We will retain your data for 30 days following termination to allow export, after which it may be permanently deleted.
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of our services shall first be subject to good-faith informal resolution. If informal resolution fails, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association (AAA), conducted in Delaware. You waive any right to a jury trial or class action.
Notwithstanding the above, either party may seek emergency injunctive or other equitable relief from courts of competent jurisdiction.
MKH LLC reserves the right to modify these Terms at any time. Material changes will be communicated via email to registered users at least 14 days before taking effect. Non-material changes take effect immediately upon posting. Continued use of our services constitutes acceptance of the revised Terms.
